These Terms and Conditions (“Terms”) govern your use of the services provided by HopeAlive Consulting (“we,” “us,” or “our”) in relation to healthcare staffing and consulting. By engaging our services, whether as a client healthcare facility or as a healthcare professional, you agree to these Terms.


1. Definitions

  • “Client” – Any healthcare facility, organization, or individual hiring healthcare professionals through our agency.

  • “Healthcare Professional” – Any medical, nursing, or allied health worker registered with our agency for job placement.

  • “Services” – Recruitment, placement, consulting, and related staffing services provided by us.


2. Scope of Services

We provide healthcare staffing and consulting services, including:

  • Recruiting, screening, and placing qualified healthcare professionals.

  • Providing temporary, contract, or permanent staffing solutions.

  • Consulting on staffing strategies, workforce planning, and compliance requirements.


3. Eligibility

  • For Healthcare Professionals: You must hold all relevant qualifications, licenses, and certifications required for your role.

  • For Clients: You must be legally authorized to operate as a healthcare facility or service provider.


4. Recruitment and Placement Process

  • All candidates undergo pre-screening, credential verification, and background checks as applicable.

  • We make reasonable efforts to match candidates with suitable roles, but we do not guarantee employment or a specific duration of placement.

  • Clients are responsible for providing safe working conditions and complying with all applicable labor, health, and safety laws.


5. Fees and Payment

  • Clients agree to pay fees as outlined in their signed service agreement or contract.

  • Payment terms are [e.g., 14 or 30 days] from the date of invoice. Late payments may incur interest charges.

  • Additional fees may apply for expedited services, cancellations, or contract buyouts for permanent hire conversions.


6. Confidentiality

Both parties agree to maintain the confidentiality of sensitive business information, personal data, and patient health information in accordance with applicable privacy laws (including HIPAA where applicable).


7. Compliance with Laws

All parties must comply with:

  • Local and national labor laws.

  • Healthcare regulations and licensing requirements.

  • Data protection and privacy laws.


8. Limitation of Liability

  • We act as an intermediary between clients and healthcare professionals and are not liable for any direct or indirect damages arising from the performance or conduct of a healthcare professional or client facility.

  • Our total liability is limited to the amount paid for our services in the 3 months preceding the claim.


9. Termination

  • Either party may terminate the agreement by providing written notice in accordance with the service contract.

  • We may terminate services immediately if a party breaches these Terms or engages in unethical or illegal conduct.


10. Dispute Resolution

Any disputes will first be resolved through good-faith negotiations. If unresolved, disputes shall be submitted to binding arbitration in Canada under the rules of [Arbitration Body].


11. Amendments

We reserve the right to amend these Terms at any time. Updates will be posted on our website, and continued use of our services constitutes acceptance of any changes.


12. Governing Law

These Terms are governed by the laws of Canada without regard to conflict of law principles.
